1. Introduction

Welcome to the HS Trader Platform (https://hstrader.com/) (“Platform” or “HS Trader”), provided by Hybrid Solutions Middle East FZ-LLC (“Provider”). These Terms of Service (“Terms”) govern your use of the Platform as an end-user (“User,” “you,” “your”) authorized by your Broker. By accessing and using the Platform, you agree to comply with these Terms. 

Use of this Platform constitutes your consent to, and agreement to, abide by the most current version of these Terms. We may at any time revise these Terms by updating the Terms on our platform. You agree to be bound by subsequent revisions and agree to review the Terms periodically for changes to the Terms. 

2. Access and Use

• Authorized Use: Your access to the Platform is granted by your Broker for the purpose of engaging in trading activities. You must use the Platform in accordance with these Terms and any specific instructions provided by your Broker. 

• Account Responsibility: You must maintain the confidentiality of your account credentials and are responsible for all activities conducted under your account. Unauthorized sharing or misuse of your account is prohibited. 

• You agree to notify us immediately of any unauthorized use of your account or any other breach of security. 

• Eligibility: To use our platform, you must be at least 18 years old and have the legal capacity to enter into a binding agreement. You must also meet any additional eligibility requirements specific to the products or services you wish to use. 

3. Trading Activities

• Market Access: The Platform allows you to access financial markets as enabled by your Broker. You are responsible for understanding the risks associated with trading and must comply with any applicable laws and regulations. 

4. Data Privacy and Security

• Personal Information: Your personal information is collected and processed in accordance with the Platform’s Privacy Policy. By using the Platform, you consent to the collection and use of your data as outlined in the Privacy Policy. 

• Security Measures: You must protect your account with strong passwords and, if available, two-factor authentication. Report any suspicious activity or security breaches to your Broker immediately. 

• Privacy Policy: Your use of our platform is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using our platform, you agree to the practices described in the Privacy Policy. 

• Data Security: We implement appropriate security measures to protect your personal data from unauthorized access or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your personal data for improper purposes. 

• It is possible that other users (including unauthorized/unregistered users or ‘hackers’) may post or transmit offensive, obscene, or malicious materials on the platform, including malware, phishing attempts, or other forms of cyberattacks, and that you may be involuntarily exposed to such offensive, obscene, or malicious materials. It is also possible for others to obtain personal information about you due to your use of the Platform, and that the recipient may use such information to harass, harm, or injure you, or conduct unauthorized activities such as identity theft or fraud. We do not approve of such unauthorized uses, but by using the platform you acknowledge and agree that we are not responsible for any loss or damage caused to you by the malware or other cyber-attacks or the use of any personal information that you publicly disclose, share with others on the platform, or that may be exposed due to malware or other cyber threats. Please carefully select the type of information that you publicly disclose or share with others on the platform. 

5. Intellectual Property

• Ownership: All content and materials available on our Services, including text, graphics, logos, images, and software, are the property HS Trader Platform or its licensors and are protected by copyright, trademark, and other intellectual property laws. 

• License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal, non-commercial use, subject to these Terms. You may not reproduce, distribute, modify, or create derivative works based on our content without our prior written consent. 

6.  Technical Specifications

• System Requirements: To use the Platform effectively, your device must meet the following minimum requirements: 

• Browser Compatibility: Latest versions of Google Chrome, Mozilla Firefox, Microsoft Edge, Safari, or the Platform’s mobile app. 

• Internet Connection: A stable broadband connection with a minimum speed of 5 Mbps. 

• Mobile Access: The Platform can be accessed via branded mobile applications available on major app stores. Ensure your mobile device is kept up to date to maintain security and performance. 

7.  Platform Features

• Real-Time Data: The Platform provides access to real-time market data and trading functionalities, subject to your Broker’s settings. Availability of specific features may vary based on your Broker’s configuration. 

• Order Execution: Orders placed through the Platform are processed according to market conditions and your Broker’s execution policies. Ensure you understand the order types and conditions available on the Platform. 

• Reporting and Analytics: Utilize the Platform’s tools for tracking your trading performance and analyzing market trends to make informed trading decisions. 

8.  Prohibited Activities: You agree not to:

• Use automated means (such as bots, scrapers, or spiders) to access the Services. 

• Attempt to interfere with or disrupt the integrity or performance of the Services. 

• Reverse-engineer, decompile, or disassemble any part of our Services. 

• Use the Services to collect or store personal data about other users without their express permission. 

• Engaging in any form of fraudulent, manipulative, or illegal activities, including insider trading, market manipulation, or other deceptive practices. 

9.  Support and Maintenance

• Customer Support: For technical support or inquiries related to trading and account management, contact your Broker’s support team. They are your primary point of contact for assistance with the Platform. 

• Self-Help Resources: The Platform may provide tutorials, FAQs, and other resources to help you navigate its features and functionalities. 

10. 10. Compliance and Monitoring

• Usage Monitoring: The Provider and your Broker may monitor your use of the Platform to ensure compliance with these Terms and applicable laws. Any non-compliant or suspicious activity may lead to investigation and enforcement actions. 

• Enforcement Actions: Violations of these Terms may result in restricted access, suspension, or termination of your trading privileges on the Platform. 

11.  Updates and Maintenance

• Platform Updates: The Platform may be updated periodically to improve performance, add new features, or address security concerns. You may need to accept updates to continue using the Platform. 

• Scheduled Maintenance: The Platform may be temporarily unavailable during scheduled maintenance. You will be notified in advance whenever possible to minimize disruptions. 

12.  Legal and Risk Disclosures

• Risk of Trading: Trading in financial markets involves significant risk, including the potential loss of all invested capital. Only trade with funds you can afford to lose and seek independent financial advice if necessary. 

• Governing Law: These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from your use of the Platform will be subject to the dispute resolution procedures set by your Broker. 

13. 13. Termination and Suspension:

• Termination by You: You may terminate your account at any time by providing written notice to HS Trader Platform. Termination will not affect any obligations incurred prior to termination. 

• Termination by Us: We may suspend or terminate your account at our discretion, with or without notice, if we believe you have violated these terms, engaged in unlawful activities, or if required by law. Upon termination, we may liquidate any open positions in your account. 

15. Limitation of Liability:

To the fullest extent permitted by law, the Platform and its affiliates, directors, officers, employees, agents, or licensors shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, loss of profits, or loss of data, arising from your use of our platform. 

HS Trader is the provider of the technology that powers the platform. Clients or Users are fully responsible for the management of their business operations, including risk management, financial decisions, and compliance with relevant laws and regulations. We do not assume responsibility for any technology failures, errors, or issues that arise from the client’s or user’s end, including but not limited to mismanagement of systems, improper usage, or external factors beyond our control. Users acknowledge and agree that they bear full responsibility for addressing and resolving any such technology-related issues on their part. 

16. Disclaimers:

No Warranty: Our platform is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. We do not guarantee that the platform will be error-free, secure, or available at all times. 

No Investment Advice: HS trader does not provide investment advice, and nothing on our platform should be construed as a recommendation to buy, sell, or hold any financial instrument. 

17. Amendments to Terms:

HS Trader reserve the right to modify these Terms of Use at any time. Any changes will become effective upon posting the revised terms on our platform, and your continued use of the platform after such changes constitutes your acceptance of the new terms. 

18.  Miscellaneous

• Entire Agreement: These Terms of Use, together with any policies or agreements referenced herein, constitute the entire agreement between you and HS Trader regarding your use of our platform and supersede any prior agreements. 

• Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 

• No Waiver: The failure of HS Trader to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. 

• Indemnification: Users agree to defend, indemnify and hold harmless our Platform, its employees, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney’s fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to our Platform or any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfillment of any of your obligations under this Agreement or arising out of your violation of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, and infringement of intellectual property or other rights. This clause shall survive the expiry or termination of this Agreement.
